Corporate Governance Implementation Status

According to the Operational Procedures for Preventing Insider Trading amended by our Company on May 10, 2023, we respectively reminded the directors by email on July 21 and October 18, 2023, that they are not allowed to trade their stocks during the closed period, i.e. thirty days before the annual financial statements are announced, and fifteen days before the announcement of each quarterly financial report, to prevent directors from inadvertently violating the regulations.

The Board passed the resolution in March 15, 2022 and appointed Ms. Kathy Chen, the Senior Manager of Finance & Accounting Department, as Corporate Governance Officer. Ms. Kathy Chen has served in a managerial position for at least 3 years in a public company in a unit handling financial and official business. The Corporate Governance Officer is responsible to protect shareholders’ rights and interests, as well as strengthen the responsibilities of the Board.

The main responsibilities of the Corporate Governance Officer as as follows:
1.Handling of matters relating to Board of Directors Meetings and Shareholders Meetings in compliance with law.
2.Preparation of minutes of Board of Directors Meetings and Shareholders Meetings.
3.Assistance in onboarding and continuing education of the Directors.
4.Provision of information required for performance of duties by the Directors.
5.Assistance to the Directors in complying with laws and regulations.
6.Promoting the achievement of corporate governance index projects, and reviewing the scoring requirements of corporate governance evaluation indicators.
7.Arranging the Independent Directors to communicate with CPA and Internal Audit Officer.
8.Handling the Directors’ Liability Insurance.
